Right to modify specified governance process parameters for treasury decision-making, including voting delay, voting period, proposal thresholds, and quorum settings exposed via the Governor contract, subject to a superior controller owner authority that retains unilateral power to alter core contract mappings and upgrade targets, including governance modules.

Right to direct allocation and transfer of on-chain treasury assets via Governor proposals covering budgets, grants, and other treasury disbursements, executed through a timelocked governance framework, subject to a superior controller Safe that retains unilateral authority to modify core contract registrations and governance wiring, thereby limiting token-holder control to a subordinate layer.

Operating Model
Livepeer has a deployed on-chain protocol on Arbitrum that coordinates staking, roles, and protocol components, while Livepeer Studio is a hosted SaaS/API and enterprise support layer that routes workloads to the network on a day-to-day basis.
Value Creation
The productive activity includes (i) off-chain compute work (orchestrators executing computation) and (ii) on-chain protocol components that attest outputs on-chain.
Value Capture
Fees and incentives are routed to service providers and protocol/treasury mechanisms on-chain, while Livepeer Studio captures off-chain revenue from enterprise-facing productisation (support, SLAs) even when compute is performed by the network. Treasury-directed flows (e.g., treasury reward cut parameters) create an additional on-chain value routing channel.
Governance
Livepeer’s governance combines on-chain token-based treasury governance, participant-based control for safety-critical actions, and off-chain corporate and foundation governance for non-protocol components. Treasury decisions are executed via governor contracts, while privileged roles such as a protocol security committee can carry out on-chain proposals and act as a first line of defence. In parallel, Livepeer Studio’s fees and commercial terms are set by Livepeer Inc., and ecosystem coordination is handled by the separately constituted Livepeer Foundation.
